The following terms and conditions govern all services provided by S.M.A.R.T. Compliance Ltd, unless expressly agreed upon otherwise in writing.
1. IntroductionThese terms and conditions govern the use of professional consulting services ("Services") offered by S.M.A.R.T. Compliance Ltd represented by solo trader Denisa Dudkova (Consultant), accessible through our website smartcompliance.co.nz. By accessing or using our Services, you agree to be bound by these terms and conditions.
2. Scope of ServicesThe Consultant provides professional consulting services specified on this website under Services.The Services may include but are not limited to services listed in Services. 3. EngagementBy requesting our Services, you agree to provide accurate and complete information relevant to the consultancy project.The Consultant reserves the right to accept or decline any consultancy project at its discretion. 4. Fees and PaymentThe fees for our Services will be as agreed upon in writing prior to the commencement of the project.Payment terms are on 20th of the month following the date of invoice.All fees are exclusive of GST unless otherwise stated. 5. ConfidentialityThe Consultant and the Client agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the consultancy project.Confidential information shall not be disclosed to any third party without the written consent of the disclosing party. 6. Intellectual PropertyAny intellectual property created during the course of the consultancy project shall be the property of the Client upon full payment of all fees.The Consultant retains the right to use generic knowledge and expertise gained during the project for its future endeavors. 7. Limitation of LiabilityThe Consultant shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the Services provided.The total liability of the Consultant under any circumstances shall not exceed the total fees paid by the Client for the Services. 8. TerminationEither party may terminate the consultancy project by providing written notice to the other party.In the event of termination, the Client shall pay for all Services provided up to the date of termination. 9. Governing LawThese terms and conditions shall be governed by and construed in accordance with the laws of New Zealand.Any disputes arising out of or in connection with these terms shall be resolved through negotiation, and if necessary, through the courts of New Zealand. 10. AmendmentsThe Consultant reserves the right to modify or amend these terms and conditions at any time. Any changes will be effective immediately upon posting on our website. 11.
